Aleut Management Careers General Counsel in Chantilly, Virginia
The General Counsel (GC) –acts as Aleut Federal’s and operating subsidaries (Company) primary representative for contractual and legal matters with customer, industry, organized labor and professional organizations and is responsible for the protection of the Companies legal interest both internally and externally ensuring that practices, policies, and activities meet all legal requirements in the jurisdictions in which the Company operates.
The GC – Leads all Legal, Contracts, Compliance and activities within Aleut Federal and operating Subsidiaries. Specific jod duties include but not limited to:• Business minded Attorney who consistently identifies and helps manage business risk and compliance while meeting business objectives.• Effectively manages the Contracts Department• Effectively manages the Business Compliance Department• Manages 8(a) Strategy and Compliance Department• Ensures the develop and implement an 8(a) strategic plan is consistent with Corporate goals/strategies and compliant with the SBA 8(a) Program.• Administers, extends, negotiates and terminates standard and nonstandard contracts• Conducts proposal preparation, contract negotiation, contract administration, and customer contact activities to provide for proper contract acquisition and fulfillment in accordance with company policies, legal requirements, and customer specifications• Advises management of contractual rights and obligations• Represents the Company in negotiation and administration of collective bargaining agreements, including terms and conditions such as wages, hours of work, working conditions, and grievance procedures• Effectively and efficiently manage Outside Counsel.• Participates in mergers and acquisitions activities. • Responsible for development, implementation and monitoring of companywide OCI compliance related matters• Develops the functional strategy for the Contracts department• Develops and provides training programs for both line and functional personnel on legal topics• Negotiates complex contract issues• Within first 12 months establish and manage an internal audit function.• Represents the company in legal matters• Develops and reviews product warranties and license agreements• Keeps informed on legislative changes that affect the company• Establishes departmental goals and objectives and the measurement and monitoring process necessary to determine actual progress and completion of goals and objectives, both from a business and functional perspective• Reviews contract actions including proposals to ensure accuracy and completeness• Effectively coordinates the terms and conditions and ensures that they are in the best interests of the company with regard to the legitimate interests of the customer• Provides advice and counsel on a variety of issues including policy, employment, labor relations, contracts, procurement, corporate matters, commercial transactions, and mergers and acquisitions• Represents management in negotiation and administration of collective bargaining agreements, including terms and conditions such as wages, hours of work, working conditions, and grievance procedures• Directs and maintains successful labor-management relationships of an organization.• Communicates sensitive information, modifies beliefs or opinions within a Program, subsidiary company, or company wide• Provides pragmatic advice and counsel regarding AF’s obligations as a US Government Contractor• Conducts pretrial preparations and defends the organization in lawsuits• Examines material, such as advertisement, publications, etc., for legal implications, advising officials of proposed legislation that might affect the organization• Prepares and reviews various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, real estate, etc.• Advises, consults, litigates and performs trial work, and carries out the legal processes necessary to affect the rights, privileges, and obligations of the organization.• Identifies, analyzes, and reports on key statutory and regulatory developments• Manages external counsel and general litigation• Serves as a key advisor to the AF Senior Leadership team and helps maintain a culture of integrity, compliance and collaboration with proactive, responsive and practical advice• Provides guidance and performance assessment to assigned employees• Develops and implements work policies and work schedule assignments as required
Must have at least ten plus (10+) years of experience in government contracting and business related activities.
Experience as Counsel in a Government Contracting Company whose annual receipts exceed $100M required.
Must be capable in providing legal guidance in employment matters.
Must possess capability of managing business risk while meeting business objectives.
Excellent interpersonal and collaboration skills a must
Must be capable of efficiently managing Outside Counsel
Familiarity with Collective Bargaining.
Experienced in supporting federal procurement activities.
Familiarity with Small Business Administration 8(a) program
Significant experience drafting and negotiating teaming agreements and Subcontracts.
Demonstrated in depth knowledge of FAR and DFAR (including cost allowability and intellectual property provisions).
Analytical thought needed to resolve issues in a variety of complex situations, without supervision
Strong negotiation skills with extensive experience dealing with internal and external customers
Extended work days and work weeks are expected, when required
Ability to travel Conus and OCONUS Project/Customer sites.
Ability to obtain and hold a Secret Clearance.
Familiarity with Cost Accounting Standards.
Familiarity with Union Pension withdrawal liabilities
Familiar with export control requirements
Experience supporting DOE Contracts
Experience with Mergers and Acquisitions
Minimal Education Requirements: Graduate Degree
Degree Field LLB degree or JD degree from an accredited law school and admission to the barCertifications or Other Licenses (Please indicate if it is desired or required) • Active License to practice law in the United States (required).
