Copeland Senior Director Corporate Development in Indianapolis, Indiana

If you are a CORPORATE DEVELOPMENT professional looking for an opportunity to grow, Copeland, a Blackstone-majority owned climate technologies company, has an exciting opportunity for you! As the Senior Director of Corporate Development , you will play a pivotal role in shaping Copeland’s portfolio and accelerating our growth across new and existing sustainability vectors through the successful execution of our inorganic strategy. You will lead deal valuation, transactional and negotiating activities, and provide deal-related governance and consultation to our global business teams. Reporting directly to the Senior Vice President of Strategy, Mergers and Acquisitions , you will engage and collaborate with key internal and external stakeholders. This role can be based at or within a commutable distance from any large Copeland US site.

In this Role, Your Responsibilities Will Be:

  • Lead the transactional aspects of all acquisitions, divestitures and joint ventures

  • Determine appropriate asset valuation based on precedence, comparable and industry trends

  • Define and negotiate appropriate deal structures with asset sellers

  • Scope and manage diligence, signing and closing activities with external advisors/internal peers

  • Ensure timely and accurate completion of post-closing activities (NWC, escrows etc.)

  • Co-own the acquisition financial model in conjunction with acquiring business unit(s)

  • Develop functional/business unit capabilities in accurately assessing risk, opportunity and appropriate mitigation strategies in diligence activities

  • Develop and maintain relationships with key investment, financial, tax and legal advisors

  • Partner with Peers and SVP Strategy, Mergers and Acquisition to create and maintain appropriate processes to ensure transaction management excellence

  • Partner with IR to ensure appropriate messaging and materials for deal-related activities

  • Ensure compliance with legal and regulatory requirements related to acquisitions

Who You Are:

You are an experienced deal execution professional, capable of supporting acquisition, joint venture and divestiture opportunities from idea through to successful close. You have strong financial acumen and are well versed in acquisition-related contractual law. You are excited by working under tight time constraints and getting good deals done well. You make high-quality decisions, even when based on incomplete information or in the face of uncertainty. You enable others to become better through appropriate guiding and coaching yet are comfortable being instructive if required. You express yourself in a credible and transparent manner.

For This Role, You Will Need:

  • Prior experience within investment banking

  • Proven experience in financial model development and assessment

  • Proven experience in transaction project management and due diligence activities

  • Proven experience in transaction structuring and negotiation

  • Strong analytical skills and ability to interpret data

  • Excellent communication and negotiation abilities

  • Proven experience mentoring & leading other employees

  • Ability to produce quality results in a highly matrixed, fast-paced environment

  • Capable of leading multiple projects simultaneously

  • Maintains composure and efficiency in stressful situations

  • Must be able to work in a state where Copeland operates

Education, Experience & Skills that Set You Apart:

  • Bachelor’s degree in Economics, Finance, Business Administration, or a related field

  • Ten (10) years of M&A experience, including five (5) years of investment banking experience

  • Prior experience in a Corporate environment, preferably within the Industrials space

  • Prior experience in private equity owned organizations

  • Track record of executing deals in the $200M-$500M revenue range

  • Track record of cross-border deals

  • MBA is a plus

Our compensation philosophy is simple: we pay a competitive base salary, within the local market in which we operate, and reward performance during our annual merit review process. The salary/pay range for this role is $175,000- $350,000 , commensurate with the skills, talent, capabilities, and experience each candidate brings to a role.
