Paralegal/Contracts Manager – Commercial Transactions, Marketing, and IP

Camping World & Good Sam is seeking a paralegal and/or contracts manager with extensive knowledge and experience to support a variety of commercial transactions, marketing and intellectual property matters, and to assist with managing the commercial transactions process. The role plays an integral part in the success of the commercial transactions team and requires leadership, excellent interpersonal and communication skills, and a strong work-ethic.

Responsibilities

Technical Skills

  • Assisting the attorneys with reviewing, drafting, and negotiating the terms and conditions for a variety of business-to-business commercial transactions, including technology transactions, services agreements, sponsorships, statements of work, and non-disclosure agreements

  • Assisting the attorneys with drafting, reviewing, and negotiating commercial agreements for the company’s consumer-facing products, including terms of use, terms of service, order forms, etc.

  • Coordinating stakeholder reviews of specific contractual provisions, such as business stakeholders, information technology, information security, risk management, and finance

  • Coordinating document finalization and signature

  • Working with our products and legal teams to coordinate and manage the trademark portfolio

  • Partner with the marketing and legal teams to provide research, guidance and educational materials to facilitate efficient engagement on marketing/advertising initiatives

Business Advisory

  • Drafting summaries of material transactions to assist business teams executing on the business relationship

  • Advising business stakeholders regarding contract interpretation

  • Create educational materials to assist business stakeholders on contract interpretation, marketing rules and guidance and IP protection

Process and Innovation

  • Analyzing opportunities for process improvements in the commercial transactions process, including matter intake, negotiation, finalization, signature, and post-signature contract management

  • Analyzing opportunities for efficiencies with respect to management of the trademark portfolio

Minimum Qualifications

  • Bachelor’s degree or significant paralegal and/or contracts management experience, preferably at a large firm or in-house legal or procurement department

  • 8+ years’ commercial transactions experience

  • Superior technical skills including being able to prepare and redline documents in Microsoft Word; working knowledge of Excel
