Job Description:

Position Overview: We are seeking an experienced Senior Attorney, with substantial and broad expertise in M&A and other corporate advisory matters to join our dynamic legal team. As a senior attorney specializing in M&A, you will play a critical role in providing legal guidance and support for a wide range of transactions and initiatives. The position will provide support to other members of the Legal Group as well as directly to business groups and other support and control functions. The optimal candidate will have a combination of law firm and in-house experience advising financial institution clients.

Key Responsibilities:

  • Provide expert legal advice on M&A transactions, advising the business throughout the life cycle of the transaction.

  • Provide expert legal advice and support on equity offerings, including initial public offerings, follow-on offerings and private placements.

  • Advise on compliance matters related to securities laws and regulations. Collaborate closely with internal stakeholders, including investment bankers, product groups and compliance as well as external counsel.

  • Stay current of legal and regulatory developments impacting the financial services industry and provide relevant and forward-looking guidance to management and colleagues.

  • Assist with the development and implementation of internal policies and procedures across the corporate and investment banks.

  • Manage members of the CIB team, to foster their professional development and growth.

Qualifications/Competencies/Accreditation:

  • To fulfill the responsibilities of the position, the incumbent must be qualified to practice law in NY State with a minimum of 10 years of combined experience in a law firm and/or an investment bank legal department, with a focus on Mergers and Acquisitions.

  • The candidate must have outstanding communication skills, be able to work both independently and collaboratively, and be flexible in adjusting to changing work priorities.

  • The candidate will have strong leadership and organizational skills.
