Job Designation

The Divisional VP Commercial is responsible for managing commercial issues to facilitate the growth of the Division through the award, leading the negotiation of high quality business, and subsequent changes to, the customer contracts for the Division. The VP will also be managing the Governance of i) Commercial Intermediaries and ii) Bids and Proposals of the Division and Regions, working closely with other members of Corporate Affairs to build USG contracting and execution capability.

The VP Commercial will be responsible for providing Commercial due diligence and negotiation support to any Divisional M&A activity and ensuring implementation of commercial and contracting best practices into acquired businesses,the direct leadership and development of the Divisional Commercial team; increasing Commercial capability with focus on USG Contracting knowledge and skills and providing Order Management/ Customer Account Management governance and capability development as may be required

Job Core Responsibilities

Negotiating high-quality deals and providing advice and guidance to the Divisional President, Divisional Leadership Team, and Regions Managers with respect to commercial matters Support the Group SVP Commercial in delivery of functional Goals Own the Commercial Delegated Authority for the Division; and responsible for any Regions Commercial Delegations

• Management of the commercial function Ensuring commercial activities and priorities are in line with the Division strategy Ensuring that commercial and contracts policies and best practices (rules, tools etc.) are implemented within the Division Leading and managing the commercial team in defining, reviewing, and negotiating commercial agreements, and in resolving commercial claims; serving as an escalation point for serious complex and material claims, as required

Leading complex and/ or material customer contracts, disputes or claims Implement processes and procedures that promote a comprehensive understanding of contractual obligations by all delivery functions, to drive near-perfect execution; the effective management of the “as won” contract baseline, acting as the senior commercial representative for the Division when negotiating with other parties Managing the bid and proposal Governance for all win business activity of the Division including supporting the bid/ no bid decision for new business. Responsible for the quality of the deal and the BAR submitted for approval Managing the Commercial Intermediary (“CI”) Governance and approval activity, and when approved, the appointment and renewal of commercial intermediaries; informing Corporate of all intermediary contracts within the Division. Provide oversight of the Sales day to day management of the CI. Influencing Corporate commercial governance policies and tools to ensure fit with Division requirements Build commercial capability, knowledge and understanding in all customer facing functions with focus on the USG Contracting knowledge and skills needed for sustain and growth strategies.

• M&A Provide negotiation and Commercial due diligence of new M&A targets Supporting integration of acquired businesses and divestment of businesses within the Division

• Talent and culture Ensuring that each Region within the Division has the required commercial capability and support Group to develop commercial capability in a consistent manner Leading, managing, and coaching in line with Meggitt’s values and our High Performance Culture Developing commercial talent across the Division and supporting Group SVP Commercial across the Group Working with the Group SVP Commercial and the commercial leadership team to promote commercial talent development and moves in and out of the Division

Job Specifications

Education: Bachlor's Degree in related field or equivalent combination of relevant education and work experience that will allow successful performance of job expectations Years Experience: 15 years or more of relevant experience Skills

• Strong leadership, management and effective interpersonal skills, with ability to lead multiple related teams, setting function priorities, and allocating resources • Proven business winning/ negotiation skills • Ability to develop and maintain strategic customer relationships, and manage challenging business issues • Must have managerial experience; demonstrated ability to mentor and develop others, and lead change • Ability to gather data, to compile information, and prepare reports • Excellent verbal communication, written communication, and presentation skills • Excellent customer service orientation and track record of building and maintaining customer/client relationships • Knowledge of and capability in USG Contracting or the ability to know how to develop it. • Well-organized, detail-oriented, and ability to multi-task • Ability to work independently and prioritize duties with minimal supervision, in order to meet deadlines • Conflict management skills • Knowledge of relevant company commercial policies and regulations • International Association of Commercial and Contract Management Accreditation desirable
